Reporting Changes to the National Court Register

Every company entered in the National Court Register must keep its details up to date, including changes to its board, shareholders, registered office, name, activities or articles. Although this may seem purely formal, errors or missed deadlines can delay registration for weeks and sometimes expose board members to liability.

01

Which Changes Must Be Reported to the National Court Register?

Common changes include management and supervisory board membership, shareholders and shareholdings, registered office and address, company name, business activities and PKD codes, and the articles of association. Some require an earlier shareholder resolution, sometimes in notarial form, especially when amending articles originally signed during company formation .

Errors at this stage can later block registration.

Some changes become effective only on registration rather than when the resolution is adopted. Until entered in the register, they do not formally apply against third parties. Prompt filing is therefore both an obligation and a practical business interest.

03

Deadlines and Consequences of Delay

Changes generally must be reported within seven days. Missing the deadline does not invalidate the change itself, but can lead to court notices, enforcement proceedings and board members’ liability for outdated information. If the deadline has passed, we help regularise the position and complete the overdue filing while limiting risk.

04

How Does Filing Through PRS or S24 Work?

Applications are now submitted electronically through the Court Registers Portal or, for companies formed using a template, S24. Paper applications are no longer processed, and court correspondence takes place through the electronic system. Many business owners find operating these systems the most difficult part.

Representation by an advocate or legal adviser simplifies the procedure: the lawyer can certify copies, avoiding the need to send originals and accelerating consideration. A complete, correct application reduces the risk of rejection or requests for missing documents and generally shortens the wait for registration.

05

What Does Our Assistance Cover?

We handle changes comprehensively: preparing resolutions and documents, assembling attachments, filing through the appropriate system and representing the company until registration is obtained. Where needed, we also prepare the required documents and file financial statements with the financial documents repository.

Updating register details is usually part of broader corporate support and arises at different stages, including when converting a sole tradership into a limited liability company , which also requires filings. We handle the process within our legal support for businesses .
