Contract Drafting and Review
A contract often goes into a drawer and returns only when a dispute arises. That is when the importance of a deadline, contractual penalty or termination provision becomes clear. KRS Law Firm specialises in drafting, reviewing and negotiating contracts that protect your business from the moment of signature, rather than serving as a mere formality. We are based in Łódź and advise clients throughout Poland.

Practice Area
We combine legal and tax perspectives. For three years, we have ranked first in the Łódź region among medium-sized firms in Dziennik Gazeta Prawna’s ranking of the largest tax advisory firms. We consider not only a contract’s civil law effects but also its tax implications, which can determine the profitability of the entire transaction.

Why Do Good Contracts Prevent Disputes?
Most business disputes arise not from bad faith but from imprecise terms that each party understands differently. A well-drafted contract addresses questions rarely asked at signing: what happens if things go wrong, who bears delay risk, how early termination is settled and how debts are recovered. Anticipating these situations helps prevent costly disputes before they start.
We therefore do not treat a contract as a generic form to complete. We first understand the actual arrangement and then tailor the provisions to the client’s circumstances.

How Can We Help?

Contract Drafting
We prepare the full range of business agreements, including commercial and B2B contracts, cooperation, distribution and agency agreements, leases, specific-task and mandate contracts, construction contracts and shareholder agreements. We also prepare transaction documents such as letters of intent, preliminary agreements and security arrangements, including promissory notes and sureties.
We prepare intellectual property agreements, including copyright assignments and licences, with our team specialising in intellectual property law, while IT, implementation and e-commerce contracts are handled through our practice of new technology law, where data, maintenance and software liability provisions require particular attention.

Contract Review and Legal Opinions
When the other party proposes a draft, it is essential to review it before signing. We identify unfavourable or risky provisions, detect clauses that shift risk to the client and propose specific changes. This seemingly minor stage can prevent major losses: correcting one sentence before signature costs far less than a later dispute.
We also support clients during negotiations — from identifying key provisions to participating in discussions. The aim is not to win every point, but to reach an agreement that can be performed and is secure for both parties.

Contracts as Part of Business Legal Support
Contract drafting and review are rarely one-off matters. For businesses regularly entering into contracts, we provide this service as part of broader legal support for businesses — with ongoing access to a lawyer familiar with the business. For companies, contracts often overlap with corporate matters within our corporate legal services. Where a transaction has significant tax implications, we involve our tax advisory team, so the agreement works from both a legal and tax perspective.
