Patrycja
Kaźmierczak-Kapuścińska

Attorney, Partner

Attorney Patrycja Kaźmierczak-Kapuścińska completed her attorney apprenticeship at the District Bar Council in Łódź in 2011. She provides services to companies in the construction industry, including ongoing services to two nationwide developers. She actively participates in the investment process of his clients, conducting real estate audits, creating construction contracts as well as development contracts.

It successfully led to several mergers and acquisitions of business entities, including those with foreign capital. Attorney Patrycja Kaźmierczak-Kapuścińska also performs legal audits on behalf of large and medium-sized enterprises. She has experience in the restructuring of business entities, ensuring the highest possible legal security, taking into account the need to increase the profitability of the company. Together with attorney Tomasz Wojdal, she participated in, among others: in the restructuring of a business entity with the value of the company’s capital estimated at PLN 88,000,000.00.

Additionally, she specializes in creating and negotiating international trade agreements. She has negotiated contracts, among others in Seremban, Guangzhou and Singapore. Together with lawyers from Asia and Europe, he serves an international holding company dealing with investments in the real estate market of European countries.

Currently negotiating, among others: contracts aimed at purchasing real estate within and outside the European Union, and coordinates the creation of economic law entities on the European and global markets – including, among others, in Spain, Italy or Paraguay.

Tomasz Wojdal

Legal advisor, Partner

Tomasz Wojdal is a legal advisor associated with the District Chamber of Legal Advisors in Łódź, chief legal advisor at the National Council of the Judiciary Office.

In the law firm, he deals with tax, economic and commercial matters. He also deals with business succession planning by carrying out comprehensive business restructuring processes, both from the tax, commercial and civil side, as well as providing their ongoing legal services. In this respect, he develops restructuring concepts tailored to the individual needs of entrepreneurs and implements them by carrying out transformation, merger and division processes of commercial companies.

He has conducted many restructuring and optimization projects for entrepreneurs from the construction, telecommunications and automotive industries, ensuring tax savings and changing the form of business activity.

In the years 2008-2012, he worked at a legal advisor’s office as a tax and economic specialist, dealing with economic, inheritance and family matters and related tax issues. Previously, he gained experience in an international tax consulting group.

Tomasz Wojdal is a graduate of the Faculty of Law and Administration of the University of Lodz. He is also a graduate of the University Maastricht (Netherlands), where he studied comparative law (American and Dutch law) and European law, including tax aspects.

Currently, Tomasz Wojdal’s interests include issues in the field of tax and commercial law as well as aspects related to inheritance planning and restructuring processes of entrepreneurs.

Recently, he published the publication “Tax advisor during tax audits”, of which he is a co-author.

Rafał Baranowski

Legal advisor

Rafał Baranowski is a legal advisor associated with the District Chamber of Legal Advisors in Łódź.

He graduated in law from the Faculty of Law and Administration of the University of Łódź.

A significant part of his professional experience is related to civil law, contract law, commercial law and commercial company law. In his practice, he focuses on solving the problems of entrepreneurs, in particular in the construction, transport and new technologies industries, through comprehensive support for their business activities.

Advises clients on matters related to access to the forwarding and transport market, including financing the acquisition of rights to means of transport, as well as concluding forwarding and transport contracts, pursuing claims and resolving disputes related to the logistics, forwarding and transport sector

Additionally, he supports clients in negotiations, preparation and execution of contracts (including implementation, maintenance, development) and other contract documents related to IT implementations. He looks for creative solutions to successfully complete the negotiations, while protecting the clients’ interests already at the stage of preparing and negotiating the terms of the contract. Analyzes and advises clients on legal issues regarding IT services, Crowdfunding and e-commerce.

In turn, the experience he gained while working at the Bailiff’s Office allowed him to better understand the characteristics of enforcement proceedings, which in turn translates into faster and more effective debt recovery for clients.

He represents our clients in court proceedings, and the knowledge acquired while conducting cases allows him to protect clients’ interests by preparing an individually selected strategy, already at the stage of making a business decision by the client.

Paulina Zbroch-Hyży

Attorney at law

Paulina Zbroch-Hyży is an attorney associated with the District Chamber of Attorneys in Łódź since 2018. She has participated in many court proceedings, representing clients in difficult and multi-layered disputes. She represented clients before the European Intellectual Property Office in disputes regarding trademark protection, including those against global brands. She was responsible for coordinating the entire investment process – from participation in the selection of the contractor’s offer for construction works, through preparation of the contract, verification of documentation during construction, to participation in the acceptance of works In cooperation with foreign law firms, she creates and coordinates the legal activities of business entities on the European market.
